1. Acceptance of Terms

By accessing or using Vedaric ("the Service"), operated by Vedaric ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Vedaric is a personal knowledge management platform that allows you to capture, organize, and retrieve information from various sources including articles, documents, videos, and notes. The Service includes features such as automatic summarization, smart search, flashcards, and knowledge graph visualization.

3. Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must be at least 18 years old to use the Service
• You may not create multiple accounts to circumvent usage limits

4. Subscription Plans and Payment

4.1 Subscription Plans

We offer Free and Pro subscription plans with different features and usage limits. Details of each plan are available on our pricing page.

4.2 Billing

• Pro plans are billed monthly, quarterly, or annually as selected during purchase
• All fees are in INR (₹) for Indian users and USD ($) for international users
• Fees are charged in advance for the billing period
• All fees are non-refundable except as required by law or as stated in our Refund Policy

4.3 Payment Methods

We accept payments through Razorpay (for Indian users) and Stripe (for international users). Payment processing is handled securely by these third-party payment processors. By providing payment information, you agree to their terms and conditions.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription fee for the next billing period.

4.5 Price Changes

We reserve the right to modify subscription fees. We will provide at least 30 days' notice of any price changes. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5. User Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you upload, save, or create using the Service ("User Content"). By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that:

• You have the right to upload, store, and process the content
• Your content does not violate any laws or third-party rights
• Your content does not contain malicious code, viruses, or harmful content

5.3 Our Intellectual Property

The Service, including its design, features, and functionality, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Violate or infringe upon the rights of others, including intellectual property rights
• Upload, transmit, or distribute harmful, offensive, or inappropriate content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without authorization

7. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We may:

• Modify, suspend, or discontinue features at any time
• Perform maintenance that may temporarily interrupt service
• Update the Service with new features or improvements

We will make reasonable efforts to notify users of significant service interruptions. However, we do not guarantee uninterrupted, secure, or error-free service, and we do not provide any service level agreement (SLA) or uptime guarantee.

8. Termination

8.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to Pro features until the end of the paid period.

8.2 Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay subscription fees
• Abuse the Service or other users

8.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and data after a reasonable retention period, subject to legal requirements. You may export your data before termination.

9. Disclaimers and Limitation of Liability

9.1 Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, secure, or error-free.

9.2 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities, arising from your use of the Service.

9.3 Maximum Liability

Our total liability for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any rights of another party.

11. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, epidemics, pandemics, government actions, internet failures, or any other cause beyond our reasonable control.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent of the invalid provision.

13. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Vedaric regarding the Service and supersede all prior agreements, understandings, or communications, whether written or oral.

14. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without your consent, including in connection with a merger, acquisition, or sale of assets.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in India.

We encourage you to contact us first to resolve any disputes amicably before pursuing legal action.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
